Terms of Service – Commercial Agreement

In Short: This is a high-trust talent ecosystem. You are paying for access to a vetted pool of candidates, and in return, you agree to play by our "Privacy-First" rules. Data hoarding is strictly forbidden.

1. Incorporation of Privacy Documents

By creating a Recruiter or Employer account, you explicitly agree to be bound by:

2. User Accounts, Eligibility, and Registration

2.1. Verification:

Access is restricted to legitimate recruiters, HR professionals, and business owners. We reserve the right to verify your identity and organizational status.

2.2. Accountability:

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Access to the Service and Use

3.1. License to View:

Graduate Pathfinder remains the primary steward of Member data. We grant you a limited, non-exclusive license to view and interact with candidates for the sole purpose of legitimate recruitment. We are not transferring ownership of the data to you.

3.2. Purpose Consistency:

You are contractually prohibited from using our data in any way that would cause us to be in breach of our promise of privacy to our Members.

4. The "Chain of Trust" & Ownership

4.1. No Transfer of Ownership:

Graduate Pathfinder remains the primary steward of Member data. By granting you access, we are licensing you to view and interact with candidates; we are not transferring ownership of the data to you.

4.2. Purpose Consistency:

We collect Member data for the specific purpose of career matching and professional development. Because we are bound by our own Privacy Policy to protect this data, you are contractually prohibited from using our data in any way that would cause us to be in breach of our promise to our Members.

4.3. The "Anti-Hoarding" Mandate:

Retaining Member data beyond the scope of a specific hiring process or moving it into a "Tertiary Database" breaks the "Chain of Trust." It is an unauthorized secondary use of data that violates the Member's original consent.

Definition of "Tertiary Database": A "Tertiary Database" means any system, dataset, or repository - whether digital or physical - outside the direct scope of the original hiring process, in which Member data is stored, copied, or processed for purposes other than the specific recruitment opportunity for which it was provided. This includes, but is not limited to, private databases, data lakes, or any AI or machine learning models (including those used for training, matching, or generating "lookalike" candidates) that ingest, analyse, or retain Member data. For clarity, recruiters and employers are strictly prohibited from using Graduate Pathfinder Member data to train, fine-tune, or otherwise enhance any AI system, algorithm, or tool, whether for internal or commercial use.

5. Intellectual Property & Brand Assets

5.1. Ownership:

Any logos, trademarks, company slogans/descriptions/content, or branded content you upload to Graduate Pathfinder remain your exclusive property.

5.2. License to Use:

By uploading your brand assets, you grant Graduate Pathfinder a non-exclusive, royalty-free, worldwide license to host, display, and use those assets solely in connection with the Services. This includes displaying your logo on job postings, recruiter profiles, and in our "Partner Companies" or "Featured Employers" sections.

5.3. Accuracy:

You are responsible for ensuring that any content you upload is accurate and that you have the legal right to use it.

5.4. Revocation:

Should you close your account, our license to use your assets ends, though we may retain them in archived backups as required by law or for historical record-keeping of past job postings.

6. Fees and Payments

6.1. Billing:

Subscription fees are billed monthly in advance, in accordance with your chosen subscription level and any additional feature packages. You can modify your subscription from your account; we will always aim to ensure you are on the most cost-effective subscription for your requirements.

6.2. No Refunds:

We do not offer refunds or credits for partial months of service or unused periods.

6.3. Payment Failure:

Access to the talent pool is contingent upon active payment. Failure to pay will result in the immediate suspension of your access and any associated recruiter seats.

6.4. Price Adjustments:

We believe in transparency. You will be informed of any changes to our pricing structure well in advance of your next billing cycle.

6.5. Free Tier Fair Use:

Availability of our Free Tier is strictly limited to one account per company registration number (or equivalent unique business identifier in your jurisdiction). Any attempt to create multiple accounts for the same company registration number, or to circumvent subscription tiers by using different or equivalent identifiers, is a breach of these Terms.

6.6. Promotions:

Discounts or "Free Months" cannot be combined and can only be applied one at a time, unless a specific offer explicitly states otherwise.

7. Anti-Scraping and Data Integrity

You shall not use any automated systems (bots, spiders, or scrapers) to extract Member data. Any attempt to "vacuum" the database will be detected by our security systems (hCaptcha and internal monitoring) and will result in immediate account termination and potential legal action for breach of contract.

8. Consequences of "Data Messing"

8.1. Irremediable Breach:

Any attempt to retain, "vacuum," or repurpose our data for your own internal database is considered an irremediable breach of these Terms.

8.2. Mandatory Purge:

If we discover unauthorized retention, you must provide a "Certificate of Destruction" signed by a company officer, confirming that all Graduate Pathfinder data has been purged from your systems. Failure to provide this will result in legal action to protect the rights of our Data Subjects.

9. Confidentiality

You must treat all candidate information as "Highly Confidential." You may only share candidate details within your organization on a "need-to-know" basis.

10. Termination of Service

We reserve the right to terminate your commercial access immediately if we have reasonable grounds to believe you are in breach of our Anti-Hoarding provisions or the DPA.

11. Disclaimer of Warranties

The service is provided "as is." While we vet our members, we do not warrant the accuracy of candidate-provided information or that a specific candidate will be suitable for your role.

12. Limitation of Liability & Indemnification

12.1. Liability:

To the maximum extent permitted by law, Graduate Pathfinder shall not be liable for indirect, incidental, or consequential damages.

12.2. Indemnity:

You agree to indemnify Graduate Pathfinder against any claims, damages, or regulatory fines (e.g., from the ICO) resulting from your breach of these Terms or the DPA.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
